Adviser Terms

Who these terms are between
1. These terms govern the Funding11 adviser network and form an agreement between you and FND11 Ltd, company number 11722998, registered at Floor 37, One Canada Square, Canary Wharf, London E14 5AA, trading as Funding11.
2. They apply from the moment you submit an application to join the network. There is nothing to sign, and submitting an application means you accept them as they stand on that date.
3. Submitting an application is not acceptance into the network. Applications are reviewed and accepted at our discretion. These terms nonetheless apply from submission, because that is the point at which you may first send us information about a client, and the confidentiality and data provisions below bind you whether or not your application succeeds.
4. Our Terms of Business govern the relationship between Funding11 and a borrower. They are not your agreement with us, and referring a client does not make you a party to them. Our Privacy Policy describes how we handle personal data, including data you send us, and does apply to you in that respect.
5. These terms are separate from the Funding11 referral reward, which is open to businesses Funding11 has funded and is governed by the Referral Terms. Where you refer a client in the course of your professional work, these terms apply and the Referral Terms do not, and no one is paid twice for the same case.
Applying, and what acceptance means
6. Anyone may apply. Accountants, solicitors, consultants and others who advise businesses are the intended audience. Acceptance is at our discretion and we are not obliged to give a reason.
7. Applications are accepted from selected jurisdictions only. Whether we can work with an adviser in a particular country is decided at the point of application and depends on the market, the regulatory position and how a client's information would reach us.
8. Acceptance opens the relationship. It is not a contract for a minimum number of cases, a volume commitment, an exclusivity arrangement, a territory, or an undertaking by Funding11 to fund anything you refer.
9. There is no minimum. You may refer one case or none, and nothing is expected of you.
10. Either party may end the relationship at any time, with immediate effect and without notice. Cases already submitted are seen through on the terms agreed for them, unless clause 26 applies.
11. You are an independent professional. Nothing in these terms makes you an agent, employee, partner or representative of Funding11, and you must not present yourself as one.
12. You are free to work with other brokerages. This is not an exclusive arrangement and we do not ask you to make it one.
What you may and may not say to a client
13. You may tell a client that you can refer them to a commercial finance brokerage, and that Funding11 arranges unsecured and property-backed finance for limited companies.
14. You must not indicate whether funding will be available, on what terms, at what rate, over what period, or from whom. Funding11 makes no commitment to a business because you referred it, and any figure you give a client is yours and not ours.
15. You must not describe yourself as arranging the finance or allow a client to believe that you are. Where a client asks about the facility itself, refer the question to us.
16. You must not disclose, or attempt to discover, the identity of the lender a case is placed with. Lender identity is not disclosed to borrowers or to advisers at any stage.
17. You must tell the client that you may be paid for the referral before you make it.
18. Funding11 controls the case. We decide which lenders to approach, what is submitted and when, and what the client is told. Where your view and ours differ on how a case should be handled, ours governs.
19. Where a client asks what you are paid for the referral, we may tell them. You should assume the arrangement is disclosable and conduct yourself accordingly.
Documents and client contact
20. You may send us a client's documents for an initial review, where the client has asked you to or agreed to it. An overview from an adviser is often how a case starts and we are glad to look at one.
21. Nothing an adviser sends is used to place a case. Before a case goes to any lender we speak to the client directly and take their documentation from them, either from the client themselves or through a secure link we provide. This is not a comment on you. It is how we verify that a client knows what is being applied for in their name.
22. You must not alter, edit, redact, assemble or reformat any document before sending it to us, and you must not send us anything a client has not given you.
23. You must not complete an application, an assessment form or an authority on a client's behalf, sign anything as or for them, or provide their verification code or credentials.
24. You must not offer, solicit or accept any payment, benefit or inducement from a client in connection with a referral to us, or from any lender.
25. Where a client asks for help understanding what is needed, tell them what has been requested and point them at us.
26. A breach of clauses 22, 23 or 24 ends the relationship immediately, and no commission is payable on any case affected, whether or not it completes.
Our name and our material
27. You must not use the Funding11 name, logo, trade marks or any of our material without our written permission. This includes your website, social media, email signatures, client-facing documents, advertising and anything produced for a third party.
28. We may provide material for you to use from time to time. Permission for one use is not permission for another, and using anything of ours without asking is a breach of these terms.
29. You must not describe yourself as a partner, associate, agent or representative of Funding11, or hold yourself out as authorised to act for us.
Data
30. You must have the client's permission before giving us their details or their documents, and you must be able to show that you had it.
31. Send us only what is relevant to the case. Do not send anything a client has given you in confidence for another purpose.
32. Where you are outside the United Kingdom, you must handle any personal data you send us in a way that would satisfy UK data protection law, and you must not keep it longer than the referral requires.
33. We process the client's data as set out in our Privacy Policy. We will tell the client at first contact that they were referred and by whom.
34. We will not tell you what is in a client's case. We will tell you whether it is progressing and whether a commission has become payable. Not their figures, not what they were offered, and not why a case did not complete.
Commission
35. Commission is agreed case by case. There is no standing rate, no published scale and no percentage that applies by default.
36. It is agreed before the case is submitted to any lender, and confirmed in writing. A conversation is not an agreement for this purpose until one of us has put it in writing and the other has not disagreed.
37. Nothing is payable on a case where commission was not agreed in writing before submission. This is not waived by custom, by a previous case, or by the case completing well.
38. Commission is payable only where the case completes, the funds are drawn, and Funding11 is itself paid. Where a facility completes but produces no commission for us, there is nothing to share, and we will tell you at the time.
39. Payment is made within thirty days of Funding11 receiving its own commission.
40. Payment is made by bank transfer only, to an account in the name under which you applied: your own name where you applied personally, or your firm's where you applied as a company or partnership. We do not pay cash and we do not pay a third party, whatever the reason given.
41. Where a lender reclaims commission from Funding11 because a facility is unwound, we may reclaim what we paid you. We will write to you first, we will not reclaim more than we paid, and we will not do so more than six months after payment.
42. Commission is paid gross. Funding11 deducts nothing, declaring it is your responsibility, and nothing here is tax advice.
Attribution
43. A referral is attributable to you if we receive it before we have had any substantive contact with that business. Where a business is already in our records as a lead, a prospect or a live case, no commission is payable, and we will tell you at the point you refer it.
44. Where two people refer the same business, the case belongs to the first, by the time we received it.
45. A referral remains attributable to you for as long as that business is a client of Funding11, unless we agree otherwise in writing for a particular case.
What Funding11 does and does not do
46. Funding11 arranges commercial finance for business purposes only. That means limited companies and limited liability partnerships, and, on finance secured on property, an individual borrowing wholly or predominantly for the purposes of a business or investment activity carried on by that individual. It is not authorised or regulated by the Financial Conduct Authority and does not arrange regulated consumer credit in any form.
47. You must not refer anyone borrowing in a personal capacity. This includes personal loans, mortgages or remortgages on a home, car finance in an individual's name, personal credit cards, debt consolidation, and any borrowing secured on a property that someone lives in. No commission is payable on a referral of that kind and no case of that kind will be progressed.
48. Finance for a business secured on an investment property is commercial lending and is within scope, whether the property is held in a company or in an individual's name. The distinction is who is borrowing and for what purpose, and whether it is a property they live in.
49. Funding11 decides which cases it takes, which lenders it approaches, and whether to proceed at any stage. We may decline a case without giving a reason.
Confidentiality and our lenders
50. Anything we tell you about a case, a lender, our process or our pricing is confidential and remains so after the relationship ends.
51. You must not approach any Funding11 lender directly in relation to a case you have referred to us, and you must not use anything you learn through this relationship to place that case elsewhere. Doing so ends the relationship immediately and no commission is payable on that case.
52. These obligations survive termination for five years, and indefinitely in respect of anything that is a trade secret.
General
53. We may change these terms or close the network at any time. Cases already submitted are honoured on the terms in force when we received them.
54. Nothing in these terms limits liability for fraud or for anything that cannot be limited at law.
55. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, wherever you are based.
56. If you are unhappy with how a referral has been handled, our Complaints Procedure applies.
